With a view to continuously optimizing the business environment and deepening reforms to facilitate foreign investment, the Fengtai District Administration for Market Regulation (Beijing), and the Qingdao Administration for Market Regulation have formulated the Interim Measures for the Mutual Recognition of Documents Evidencing the Legal Status of Foreign Investors. These Measures are hereby issued to you for implementation; you are requested to carefully organize and implement them in light of local conditions.

Interim Measures for the Mutual Recognition of Foreign Investors' Eligibility Documents
1. These Measures are formulated to continuously optimize the business environment, deepen reforms to facilitate foreign investment, and effectively streamline the submission of documents evidencing the eligibility of foreign investors and other relevant materials required for the registration of market entities with foreign investment.
2. For the purposes of these Measures, "foreign investor" refers to any foreign natural person, enterprise, or other organization.
These Measures shall apply, as appropriate, to investors from the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan Region.
3. These Measures shall apply to foreign-invested market entities registered with the market entity registration authorities in Fengtai District (Beijing), and Qingdao.
4.For the purposes of these Measures, "documents evidencing the eligibility of a foreign investor" means the following documents:
(1) The documents evidencing the legal status of a foreign investor are notarized by the competent authority of the investor's home country and authenticated by the Chinese embassy or consulate in that country; or are notarized by the embassy or consulate of a third country that has diplomatic relations with China, stationed in that country, and authenticated by the Chinese embassy or consulate in that third country.
(2) Where the investor's home country is a party to the Convention Abolishing the Requirement of Legalisation for Foreign Public Documents, the documents evidencing the legal status of the foreign investor shall be the notarial certificate issued by the competent authority of that country, together with the apostille issued by the competent authority thereof, except where such country is not recognized by China as a sovereign State, or where the Convention does not apply as between China and that country.
(3) For investors from the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan Region, the documents evidencing their legal status shall, in accordance with the law, be the notarial documents issued by the relevant notarial authorities of such regions, pursuant to the applicable special provisions or arrangements.
Where the submission requirements prescribed by the State Administration for Market Regulation are amended, the latest requirements shall apply.
5. Where a foreign investor has established a foreign-invested market entity with either the registration authority in Fengtai District (Beijing), or the registration authority in Qingdao, and has submitted the original notarized and authenticated documents evidencing its legal status, and where such documents remain within their validity period, or, if no validity period is specified, the notarized and authenticated documents were issued within one year, and the foreign investor subsequently invests in the other locality, the foreign investor may submit, as evidence of its legal status, a photocopy of the said documents bearing the archival seal of the registration authority with which the foreign-invested market entity was established, together with a duly completed Application for Mutual Recognition of Documents Evidencing the Legal Status of Foreign (Regional) Investors. Where the original documents restrict their validity to a specific area for the first time of use, the registration authorities in both localities shall mutually recognize such documents.
6. A foreign investor submitting a photocopy of the documents required under Article 5 shall confirm that the information contained therein is consistent with its current circumstances and is true and accurate.
7. These Measures shall also apply in cases where a foreign investor is required to submit documents evidencing its legal status in connection with the change of registration, cancellation of registration, filing, registration of equity pledge, or registration of mergers and acquisitions by foreign investors of a foreign-invested market entity.
8. The market entity registration authorities in Fengtai District (Beijing), and Qingdao shall strengthen coordination, share information, and, in accordance with their respective functions and duties, effectively carry out during- and post-operational oversight.
9. Acting on the directives of the People's Government of Beijing Municipality and the People's Government of Shandong Province, the market entity registration authorities in Fengtai District and Qingdao shall actively pursue a new open-economy system, continue to simplify the documentary requirements relating to the legal status of foreign investors, steadily facilitate the registration of foreign-invested market entities, and promote the development of a new pattern of all-round opening up.
10. These Measures shall come into force as of September 9, 2026, and shall remain in effect until September 9, 2029.

The applicant and the signatory hereby warrant that the existing foreign-invested enterprise does not fall under any of the following circumstances: (1) The business scope of the enterprise in which the proposed investment is to be made involves matters subject to prior licensing; (2) The invested enterprise has been included in the List of Enterprises with Abnormal Operation or the List of Entities with Serious Illegal and Dishonest Acts, and has not yet completed credit rehabilitation; (3) The invested enterprise is under investigation, is subject to administrative compulsory measures, or is involved in pending litigation or arbitration proceedings; (4) The invested enterprise has had its business license revoked, or has been ordered to close down or to be deregistered; (5) Any other circumstances under which the Measures does not apply. | ||
The applicant and the signatory shall bear responsibility for the authenticity of the above commitments and the information submitted. Should any false registration or other violation of laws or regulations occur, they shall submit themselves to the restraints and penalties of the relevant administrative law enforcement authorities, and shall assume the corresponding legal liability in accordance with law. Note:
1.Where mutual recognition of notarized and authenticated documents is applied for by multiple foreign (regional) investors, each such investor shall submit the relevant information separately.
2.For the purposes of tthe Measures, the term 'legal representative' means the legal representative of the company, or the executing partner of the partnership enterprise, that is to be established, amended, filed, or registered for equity pledge.
